More background on the Sarbanes-Oxley Act

Here is the direct excerpt from the Sarbanes-Oxley Act of 2002 report:

A. Regulations Required. The Commission shall, by rule, require, for each company filing periodic reports under section 13(a) or 15(d) of the Securities Exchange Act of 1934, that the principal executive officer or officers and the principal financial officer or officers, or persons performing similar functions, certify in each annual or quarterly report filed or submitted under either such section of such Act that--
1. the signing officer has reviewed the report;
2. based on the officer's knowledge, the report does not contain any untrue statement of a material fact or omit to state a material fact necessary in order to make the statements made, in light of the circumstances under which such statements were made, not misleading;
3. based on such officer's knowledge, the financial statements, and other financial information included in the report, fairly present in all material respects the financial condition and results of operations of the issuer as of, and for, the periods presented in the report;
4. the signing officers--
A. are responsible for establishing and maintaining internal controls;
B. have designed such internal controls to ensure that material information relating to the issuer and its consolidated subsidiaries is made known to such officers by others within those entities, particularly during the period in which the periodic reports are being prepared;
C. have evaluated the effectiveness of the issuer's internal controls as of a date within 90 days prior to the report; and
D. have presented in the report their conclusions about the effectiveness of their internal controls based on their evaluation as of that date;
5. the signing officers have disclosed to the issuer's auditors and the audit committee of the board of directors (or persons fulfilling the equivalent function)--
A. all significant deficiencies in the design or operation of internal controls which could adversely affect the issuer's ability to record, process, summarize, and report financial data and have identified for the issuer's auditors any material weaknesses in internal controls; and
B. any fraud, whether or not material, that involves management or other employees who have a significant role in the issuer's internal controls; and
6. the signing officers have indicated in the report whether or not there were significant changes in internal controls or in other factors that could significantly affect internal controls subsequent to the date of their evaluation, including any corrective actions with regard to significant deficiencies and material weaknesses.

B. Foreign Reincorporations Have No Effect. Nothing in this section 302 shall be interpreted or applied in any way to allow any issuer to lessen the legal force of the statement required under this section 302, by an issuer having reincorporated or having engaged in any other transaction that resulted in the transfer of the corporate domicile or offices of the issuer from inside the United States to outside of the United States.

Washington, D.C., Aug. 13, 2003 — The Securities and Exchange Commission's Office of the Chief Accountant today provided its responses to 35 frequently asked questions regarding the application of the Commission's rules on auditor independence. On Jan. 28, 2003, the SEC released new regulations strengthening the Commission's existing requirements regarding auditor independence. See Release No. 33-8183.
The staff's responses are intended to assist registrants and their audit committees, audit firms, and other market participants in the understanding of and compliance with the new regulations. The document includes the staff's responses to questions in the general areas of:

Some Disclosure Requirements of the SARBANES-OXLEY Act:


* Auditors and Management must annually assess their company’s internal controls and related disclosures.

* Additional disclosure of off-balance sheet financing and financial contingencies is now required.

* The presentation of pro forma information is now required.

* Disclosure under Section 16 of the Exchange Act of insider stock transactions has been accelerated to two business days.

* Disclosure of certain information will now be required in “real time.”

Definition: CoBIT

What is CoBIT? This is one of the most used standards for defining and documenting Internal Controls. It stands for Control Objectives for Information and Related Technologies. It has six main components which we will definitely describe in the future in depth. They six components are; Executive Summary, Framework, Control Objective, Control Practice, Management Guidelines and Audit Guidelines.

What is different between Section 302 and Section 404?

Most people think they are similar and that Section 404 was not neccessary. Section 404 to most seems to be writing more towards financial reporting which is true but both come down to establishing and maintaining internal controls. We will discuss both more in separate posts coming up and then we will ask the same question, what is different between Section 302 and Section 404 of the Sarbanes Oxley act?

What is Sarbanes-Oxley?

Well the Sarbanes Oxley-Act of 2002 is a set of complex regulations that is considered to be one of the most important business reform acts since 1934. The Act combines bills that were drafted by Senator Paul Sarbanes (D- Maryland- The Chairperson of the Senate Committee on Banking, Housing, and Urban Affairs) and Congressman Michael Oxley (R-Ohio - The Chairperson of the House of Committee on Financial Services) designed to enforce corporate accountability and responsibility. Congress ( The house passed the bill 334-90 while the Senate passed it 97 to 0) quickly enacted the bill to restore confidence in corporate America, where a plunging stock prices, increased corporate fraud and numerous corporate scandals (Enron, Aldelphia Communications and many more), not to mention a record number of corporate bankruptcies, have had a negative impact on the economy. This law has granted the SEC increased regulatory control, lengthened the statute of limitations and imposed greater criminal and compensatory punishment on executives and companies that do not comply.

The findings from Report of the National Commission on Fraudulent Financial Reporting (Coso, 1987) were the basis of the framework of SOX (Sarbanes-Oxley Act of 2002). If was formally called the Public Company Accounting Reform and Investor Proctection Act of 2002. It was signed into law by President George W Bush on July 30, 2002.

The tracings of this law can go all the way back to the Depression era with roots including the Securities Act of 1933 which is more commonly known as the "Truth in Securities" law.
